Oikos United LLC, a Virginia limited liability company · Commonwealth of Virginia, USA (mailing address available on request)
This is a binding agreement with Oikos United LLC. It is the master agreement for everything Oikos United sells and runs. Each Oikos product also has its own Terms of Service, and Section 2 tells you which document governs what. Section 11 limits our liability and Section 14 says how disputes are resolved. Read them.
The short version
- Oikos United LLC is the company behind Oikos Venue, Oikos Books and Oikos Church. When you subscribe to one of those products, Oikos United LLC is the seller, and it is Oikos United LLC that charges your card, through Stripe.
- Each product has its own Terms. Those Terms govern how you use that product. This document sits above them: who we are, how billing works for every subscription we sell, the rules for our website and the tools we use to work with clients, and anything a product's Terms do not cover. Where a product's Terms and this document say different things about that product, the product's Terms win.
- Not all money that moves through our products is ours. A donation to a church, a payment to a venue or a business from its own client, and an RMA Coaching membership fee are each paid to someone else. Section 3 says who you are dealing with in each case.
- Cancel any time. Every subscription we sell renews automatically until you cancel, and cancelling is at least as easy as subscribing: from the billing settings in the product, or by emailing [email protected].
1. Who we are; what this document is
1.1 Oikos. "Oikos," "Oikos United," "we," "us" and "our" mean Oikos United LLC, a limited liability company organized under the laws of the Commonwealth of Virginia. We build and operate software for the organizations that run communities, and we build custom software for clients.
1.2 What this document covers. These Terms govern:
- (a) every subscription that Oikos United LLC sells, together with the Terms of the product you subscribed to;
- (b) our website at oikosunited.com, and the client tools at start.oikosunited.com (the project intake form, client rooms, hosted invoice pages, and the demo-request forms embedded on our product sites), together called the "Studio Sites";
- (c) any matter a product's own Terms do not address.
1.3 Order of precedence. For a product, that product's Terms govern your use of the product. Where the product's Terms are silent, this document applies. Where the two conflict about that product, the product's Terms govern. For the Studio Sites, this document alone governs. A written agreement for custom software or consulting (Section 6) governs that engagement and prevails over this document except for Sections 1 and 3, which identify who you are contracting with.
1.4 Acceptance. You accept these Terms by subscribing to a product we sell, by ticking the acceptance box at a Stripe checkout that links here, by submitting a form on a Studio Site, or by using a Studio Site. If you accept for a business or organization, you represent that you are authorized to bind it, and "you" means that organization.
1.5 Who may use our services. Our products are business services offered in the United States to organizations and to adults acting for them. You must be at least 18 years old to accept these Terms.
2. The Oikos products and their Terms
Each product's own Terms, Privacy Policy and related documents are published on its site. This table is the index. We add a product here before we sell it.
| Product | Who it is for | Its documents | Status |
|---|---|---|---|
| Oikos Venue (oikosvenues.com) | Wedding and event venues | Terms of Service · Privacy Policy · Messaging Terms · Data Processing Addendum | Offered for sale |
| Oikos Books (oikosbooks.com) | Small businesses and the accountants who serve them | Terms of Service · Privacy Policy · Data Processing Addendum · Disclaimers · Security | Offered for sale (free desktop app; paid cloud subscription) |
| Oikos Church (oikoschurches.com) | Churches | Terms of Service · Privacy Policy · Children's Privacy and Safety Addendum · Giving and Donations Terms | Published; self-service signup is not yet open |
| Oikos Real Estate (oikos-realestate.com) | Real estate brokerages | Its Terms and Privacy Policy will be published before it is offered for sale | Not yet offered |
| Oikos Clinic | Cash-first clinics | Its Terms and Privacy Policy will be published before it is offered for sale | Not yet offered |
| Oikos Marketing | The marketing and AI add-on inside Oikos Venue and Oikos Church | Governed by the Terms of the product it is added to. Any standalone use is by written agreement (Section 6) | Add-on; standalone by agreement only |
2.1 Changes to the product line. We may add, rename, change or retire products. Retiring a product you pay for is a material change under Section 15, with at least 30 days' notice and the chance to export your data first.
3. Who you are contracting with, and who charges your card
3.1 Subscriptions Oikos sells. For every product subscription in Section 2, Oikos United LLC is the seller and the merchant of record. Your payment is processed by Stripe, Inc. on our behalf, and your receipt comes from Oikos United LLC. We never receive or store your full card number.
3.2 Money that is not ours. Our products also move money between other people. In each of the following cases you are not buying anything from Oikos, and Oikos is not a party to the transaction:
| What you are paying | Who you are paying | Whose terms apply |
|---|---|---|
| A gift or donation through an Oikos Church giving page | The church. The church is the recipient and the merchant of record; funds settle to the church's own Stripe account. Oikos takes no custody of donated funds and is not a charity, bank or money transmitter | The church's own policies and the Oikos Church Giving and Donations Terms. Receipts, refunds and questions go to the church |
| A payment to a venue through Oikos Venue (a deposit, balance or other charge for an event) | The venue. The venue is the merchant of record and the charge settles to its own Stripe account | Your contract with the venue. Refunds, disputes and chargebacks are between you, the venue and Stripe |
| An invoice from a business that uses Oikos Books, including a payment link at pay.oikosbooks.com | That business. It is the merchant of record and the charge settles to its own Stripe account | Your agreement with that business |
| An RMA Coaching membership or any charge from joinrmacoaching.com | Real Estate Mastery Academy LLC ("RMA"), through RMA's own Stripe account. Oikos builds and hosts the RMA platform as RMA's service provider under a written services and data-processing agreement. Oikos does not sell memberships and is not a party to yours | RMA's Terms of Service and Privacy Policy |
| A custom software or consulting engagement | Oikos United LLC, under a written agreement | That agreement (Section 6) |
3.3 If a checkout page brought you here. Stripe shows a single Terms link for every Oikos product. If you reached this page from a checkout, the product named on that checkout page is the product you are buying, and by completing the purchase you agree to both this document and that product's Terms. The product's Terms govern the product (Section 1.3).
4. Subscriptions Oikos sells: the billing rules that apply to all of them
These rules apply to every subscription in Section 2. A product's Terms may add detail, such as its prices and the exact effect of a missed payment; where they differ, the product's Terms govern.
4.1 Price. The price that binds you is the price shown at checkout, including any add-on you select. Each product's Terms list its current prices.
4.2 Automatic renewal. Subscriptions renew automatically, monthly unless the checkout shows a different period, and your payment method is charged automatically at each renewal until you cancel. Before your first charge, the checkout shows the recurring amount, how often it is charged, the date of the first charge, and how to cancel, and asks you to agree to them affirmatively. We rely on that agreement for every renewal that follows.
4.3 Free trials. If a subscription starts with a free period, the length of the free period, the price that applies afterwards, the date of the first charge and how to cancel before it are all shown before the trial starts. A trial converts to a paid subscription automatically unless you cancel before it ends. You are not charged if you cancel before the free period ends.
4.4 Cancellation. You may cancel at any time, by a method at least as easy as the one you subscribed with: from the billing settings inside the product (Stripe's customer portal, where the product offers it), or by emailing [email protected] from the account owner's address. Cancellation stops the next renewal and takes effect at the end of the period you have already paid for; you keep access until then. We confirm every cancellation by email. There are no cancellation fees.
4.5 Refunds. Fees are non-refundable and not prorated, except (a) where the law requires a refund, (b) where the product's Terms or Data Processing Addendum provide one (for example, when you object to a new sub-processor), or (c) where we made a billing error, such as a duplicate charge, which we refund in full.
4.6 Price changes. We may change prices prospectively. We give at least 30 days' notice by email to the account owner before a new price applies to a renewal. If you do not agree, cancel before the new price takes effect.
4.7 Failed payments. If a charge fails we notify you and Stripe retries it. Each product's Terms set the grace period and what happens after it. The usual consequence is that the workspace becomes read-only until payment is made; nothing is deleted because of a missed payment except as the product's retention terms provide, and you can always export your data first.
4.8 Taxes. Prices do not include sales tax or similar taxes. Where we are required to collect a tax, it is shown and added at checkout.
4.9 Promotions. A promotion or discount code applies on the terms shown when it is offered, is not transferable, and may be used once per customer unless the offer says otherwise. We may end a promotion for future purchases at any time without affecting a subscription that already has it.
4.10 Receipts and records. Stripe emails a receipt for each charge, and your invoices are available from the product's billing settings. We keep billing records for as long as tax and accounting law requires, currently up to seven years, including after an account is deleted.
4.11 Payment security. Card and bank details are collected and held only by Stripe, a PCI DSS Level 1 service provider; our products are built so that Oikos does not receive, process or store full card numbers. Your relationship with Stripe for the payment itself is governed by Stripe's own terms.
5. The Studio Sites
5.1 oikosunited.com. Our website is informational. Its contact form sends us your name, email address, organization (optional) and message so that we can reply. There are no accounts.
5.2 start.oikosunited.com. This is where we take in new projects and work with clients:
- the project intake form, which asks what you need, who you are, your goals, timing and budget, and lets you share files;
- client rooms, private pages reached by a link we send you, where we exchange messages and files during an engagement;
- hosted invoice pages, read-only pages reached by a link, showing an invoice from Oikos and whether it has been paid;
- demo-request forms embedded on our product sites, which ask for your name, email, organization and role so we can arrange a demonstration.
5.3 Links are keys. Client rooms and invoice pages have no login; the link itself grants access. Keep your links private, do not forward them, and tell us at once if one may have been exposed. We may expire a link at any time and issue a new one.
5.4 Your responsibilities. When you use a Studio Site you agree to give accurate information, to share only files you have the right to share, not to upload malware, not to probe or overload the site, not to submit spam or automated requests, and not to misrepresent who you are or whom you act for.
5.5 No obligation created. Submitting an inquiry, a demo request or an intake form does not create an engagement, a quote or any obligation on either side. Hosted invoice pages are a convenience; the invoice itself, and the payment terms, come from your written agreement with us.
6. Custom software and consulting
Custom builds, integrations and consulting are governed by a written agreement between you and Oikos United LLC (a proposal, statement of work or master services agreement). No fee is owed, and no work is promised, until that agreement is signed. Where a written agreement is silent on a point covered by Sections 7 to 14 of this document, those Sections apply as the default.
7. Confidentiality and your data
7.1 What you send us. We treat non-public information you give us through a Studio Site, by email or in an engagement as confidential. We use it only to evaluate and perform the work you ask about, we disclose it only to our personnel and service providers who need it and are bound to protect it, and we do not sell it. This does not cover information that is public, that we already had, that we develop independently, or that we must disclose by law (in which case we tell you, where the law allows).
7.2 Your data inside a product. Each product's Terms and Privacy Policy, and where applicable its Data Processing Addendum, say exactly how that product handles data. The rules are the same across the line: you own your data; we use it only to provide the service to you; we do not sell it; we do not use it to train AI models; and you can export it. The organization that subscribes is responsible for having the right to put its data into the product and for the notices and consents its own people and customers are owed.
8. Acceptable use
Across every Oikos product and Studio Site you will not: use the service unlawfully; store or send anything you do not have the right to; send unsolicited bulk or marketing messages, or any message without the consent the law requires; upload malware; probe, scan, overload or breach the security of any Oikos system; access another customer's data; misrepresent your identity or authority; reverse-engineer our software except where the law allows it; or resell a product as a hosted service without our written permission. We may suspend access where a violation risks harm, security or legal exposure, and we will tell you why unless the law or the safety of others prevents it. A product's Terms may set further rules for that product.
9. Intellectual property
9.1 Ours. Oikos United LLC owns the Oikos products, the Studio Sites, and all software, designs, documentation and content we create, together with the Oikos name, the product names (Oikos Venue, Oikos Books, Oikos Church, Oikos Real Estate, Oikos Clinic, Oikos Marketing), the tree mark and our logos. A subscription gives you a non-exclusive, non-transferable right to use the product during your term for your own operations. Nothing here transfers ownership of our software to you, and you may not use our names or marks without written permission, except to say truthfully that you use an Oikos product.
9.2 Yours. You own your data and the content you create with our products. Custom work we build for you is owned as your written agreement says.
9.3 Feedback. If you give us suggestions, you let us use them without obligation to you.
10. Disclaimers
10.1 Studio Sites. THE STUDIO SITES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that they will be uninterrupted or error-free.
10.2 Products. Each product's Terms contain its own warranty disclaimer, and that disclaimer governs the product.
10.3 Not professional advice. Oikos products are software tools. They are not accounting, tax, legal, financial, pastoral, real estate or medical advice, and Oikos is not an accounting firm, law firm, financial adviser or healthcare provider. Figures, statements, reports and AI output are produced for your convenience; you are responsible for checking them and for your own filings, decisions and compliance.
10.4 Third parties. Stripe, Cloudflare, Render, Supabase, Resend, Twilio, Anthropic and the other providers named in a product's documents are independent companies with their own terms. We choose them with care and remain responsible to you for our own obligations, but we are not responsible for their acts, omissions or availability.
11. Limitation of liability
11.1 Products. For claims about a product, the limitation of liability in that product's Terms governs. This Section applies to everything else these Terms cover, including the Studio Sites.
11.2 Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST BUSINESS, LOST DATA OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
11.3 Cap. OUR TOTAL LIABILITY FOR ALL CLAIMS UNDER THIS SECTION WILL NOT EXCEED THE GREATER OF (a) THE FEES YOU PAID OIKOS UNITED LLC FOR THE SERVICE AT ISSUE IN THE 12 MONTHS BEFORE THE CLAIM OR (b) US$100.
11.4 Data incidents. For a claim arising from a security incident affecting information you gave us through a Studio Site, the cap in 11.3 is the greater of the fees you paid in the 12 months before the claim or US$1,000.
11.5 Carve-outs. Nothing in this Section limits liability for a party's indemnification obligations under Section 12, a party's breach of Section 7 (confidentiality), a party's gross negligence, willful misconduct or fraud, amounts you owe us, or any liability that cannot be limited by law.
11.6 Basis of the bargain. These limits apply even if a remedy fails of its essential purpose, and they are a material part of the price.
12. Indemnification
12.1 By you. You will defend and indemnify Oikos United LLC and its owners and personnel against third-party claims arising from your data or content, your use of a product or Studio Site in breach of these Terms or the law, or your business with your own customers, donors, clients or members.
12.2 By Oikos. Each product's Terms contain Oikos's indemnity for claims that the product infringes a US intellectual property right, and that indemnity governs the product.
12.3 Procedure. The indemnified party gives prompt notice, lets the indemnifying party control the defense, and cooperates reasonably. Neither party settles a claim in a way that imposes liability on the other without its consent.
13. Suspension and termination
You may cancel a subscription under Section 4.4 and stop using a Studio Site at any time. We may suspend or terminate access for material breach not cured within 15 days of notice, for non-payment under Section 4.7, or at once where needed to stop unlawful activity, a security threat or harm to others. After a subscription ends, each product's Terms set the read-only and export window and the deletion that follows. Sections 7, 9, 10, 11, 12, 14 and 18 survive termination.
14. Governing law and disputes
14.1 Governing law. These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules.
14.2 Disputes about a product. A dispute about a product is resolved as that product's Terms provide. Oikos Venue and Oikos Books require binding individual arbitration, with a right to opt out within 30 days of first accepting their Terms; Oikos Church selects the Virginia courts. Read the product's dispute section.
14.3 Everything else. For any other dispute under these Terms:
- (a) Talk first. A party gives written notice describing the dispute, and the parties try in good faith to resolve it within 30 days before filing suit.
- (b) Exclusive forum. Any suit will be brought exclusively in the state or federal courts sitting in the Commonwealth of Virginia, and each party consents to their jurisdiction and venue and waives any objection based on inconvenient forum.
- (c) Jury waiver. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ITS RIGHT TO A JURY TRIAL, to the fullest extent the law permits.
- (d) No class actions. Each party brings claims only in its individual capacity, not as a plaintiff or class member in any class, collective or representative proceeding, to the extent the law permits.
- (e) Injunctive relief. Either party may seek temporary injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
14.4 Consumer note. If you deal with us as a consumer, the mandatory consumer-protection rights of your home jurisdiction are not waived by this Section.
15. Changes to these Terms
We may update these Terms. We post the new version here with a new date. For a material change we email account owners of subscriptions we sell at least 30 days before it takes effect; for the Studio Sites, the posted version applies from its date. Continued use after the effective date is acceptance. If you do not agree, cancel before then.
16. Electronic records and signatures
You agree to receive these Terms, the product documents, notices, receipts and invoices electronically, and that accepting them electronically (clicking "I agree," ticking a checkout box, subscribing, or using a service) has the same effect as a handwritten signature under the federal E-SIGN Act and the Uniform Electronic Transactions Act. You may withdraw consent to electronic records for the future by writing to us, understanding that some features need electronic delivery.
17. Notices
Notices to Oikos go to [email protected]; a legal notice should also be sent by mail to the address we provide on request. Notices to you go to the email address on your account or the one you gave us, and are effective when sent.
18. General
These Terms, together with the product documents in Section 2 and any written agreement under Section 6, are the entire agreement on their subject and replace earlier proposals and understandings. If a provision is unenforceable it is reformed to the minimum extent needed and the rest stands. A failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or a sale of the business or of a product line, with notice to you. Neither party is liable for delay or failure caused by events beyond its reasonable control. The parties are independent contractors. "Including" means "including without limitation." Headings are for convenience only.
